Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the Pain Points platform ("Platform"), operated by Grenadier Computing Ltd ("we", "us", "our"), registered in England and Wales. By using the Platform, you agree to these Terms.

1. The Platform

Pain Points is a business improvement platform that helps organisations identify, quantify, and prioritise operational pain points. The Platform is provided as a software-as-a-service (SaaS) application accessed via web browser.

2. Account Registration

• Access requires authentication via a Microsoft 365 business account (Microsoft Entra ID).
• By registering, you confirm you are authorised to act on behalf of your organisation.
• You are responsible for all activity under your account.
• One organisation account per Microsoft 365 tenant.

3. Partner and MSP Accounts

Partners (MSPs and IT providers) may register to manage multiple customer organisations. Partners are responsible for:

• Ensuring their customers consent to the use of the Platform
• Complying with applicable data protection laws for their customers' data
• Managing user access and roles within their customer organisations

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to access data belonging to other organisations
• Interfere with or disrupt the Platform's infrastructure
• Upload malicious content, spam, or offensive material
• Reverse engineer, decompile, or attempt to extract the source code
• Resell or redistribute access to the Platform without our written consent

5. Free Trial

• New accounts receive a free trial period (currently 30 days).
• During the trial, the Platform is fully functional.
• When the trial expires, write access is restricted until a subscription is active.
• We reserve the right to modify trial terms at any time.

6. Subscriptions and Payment

• Subscription pricing is published on our website or agreed individually.
• Subscriptions are billed in advance on a monthly or annual basis.
• All fees are exclusive of VAT, which will be added where applicable.
• We reserve the right to change pricing with 30 days' notice.

7. Your Data

• You retain ownership of all data you submit to the Platform.
• We do not claim any intellectual property rights over your content.
• You grant us a limited licence to process your data solely for providing the Platform.
• You can export your data at any time in machine-readable format.
• Upon account termination, your data is deleted in accordance with our Data Processing Agreement.

8. Intellectual Property

The Platform, including its design, code, branding, and documentation, is the intellectual property of Grenadier Computing Ltd. Nothing in these Terms transfers any IP rights to you, except the limited right to use the Platform under these Terms.

9. Availability and Support

• We aim to maintain high availability but do not guarantee uninterrupted service.
• Planned maintenance will be communicated in advance where possible.
• Support is provided via email at support@painpointsapp.com.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, or consequential damages.
• Our total liability is limited to the fees paid by you in the 12 months preceding the claim.
• Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

11. Termination

• You may stop using the Platform and request account deletion at any time.
• We may suspend or terminate your access if you breach these Terms.
• Upon termination, your right to use the Platform ceases immediately.
• Data deletion follows the process described in our Data Processing Agreement.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the Platform or email. Continued use after notification constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
